Preamble

Introduction

This End User License Agreement ("EULA" or "Agreement") governs your use of the Whatt??? mobile application ("App"), operated by Pingora Technologies Private Limited ("Company", "we", "our", or "us"), a company incorporated under the laws of India.

By downloading, installing, accessing, or using the App, you agree to be bound by this Agreement. If you do not agree to these terms, you must not use the App.

Please read this Agreement carefully before using Whatt???. Your continued use of the App constitutes acceptance of any updates to this Agreement.
Clause 01

License Grant

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install the App on a device you own or control
  • Access and use the App for personal, non-commercial purposes
  • Use the communication features and services available within the App

This license does not include the right to sublicense, distribute, modify, adapt, translate, reverse engineer, decompile, or create derivative works of the App. All rights not expressly granted are reserved by the Company.

Clause 02

Platform Role

The App provides a communication platform that connects users with one another for voice and messaging interactions.

  • The Company does not employ users or act as their agent
  • We do not guarantee the quality, availability, or outcome of any interaction
  • We are a technology intermediary and not a party to user-to-user transactions
  • Users are solely responsible for their own conduct and interactions
Whatt??? is a platform — we connect people, we do not employ or represent them.
Clause 03

Payments

Certain features and interactions within the App require payment. By using paid features, you agree to the following:

  • You agree to per-minute pricing as set by other users on the platform
  • All payments are processed securely through Razorpay, our authorized payment gateway
  • Payment for services is non-refundable once a session has commenced, unless otherwise required by applicable law
  • The Company reserves the right to modify pricing structures with reasonable notice
  • You are responsible for all charges incurred under your account
All payments are processed by Razorpay. Ensure your payment method is valid before initiating paid sessions.
Clause 04

Earnings and Withdrawals

Eligible users who provide services on the platform may accumulate earnings and request payouts. The following conditions apply:

  • The Company acts solely as a payment facilitator between users
  • Withdrawal requests are subject to minimum thresholds and processing timelines
  • Earnings are subject to applicable taxes; users are responsible for their own tax compliance
  • The Company reserves the right to withhold payouts in cases of suspected fraud, policy violation, or legal requirements
  • Payout methods and timelines are subject to change with prior notice
Clause 05

Call Recording Consent

Important: By using voice and communication features within the App, you explicitly acknowledge and consent to the recording of your calls.

All audio calls conducted on the Whatt??? platform are automatically recorded for the following purposes:

  • Safety monitoring — to detect and prevent harmful or abusive behavior
  • Content moderation — to enforce community guidelines
  • Fraud prevention — to identify and prevent unauthorized activity
  • Legal compliance — to comply with applicable laws and regulatory requirements

Recordings are stored on decentralized IPFS infrastructure and are accessible only to authorized personnel at Pingora Technologies Private Limited. Please refer to our Privacy Policy for complete details on data retention and access.

Clause 06

Prohibited Conduct

By using the App, you agree not to engage in any of the following activities:

  • Sharing external contact details (phone numbers, email addresses, social media handles) with other users
  • Engaging in any illegal, exploitative, or harmful activity
  • Offering, requesting, facilitating, or engaging in sexual services of any kind
  • Harassing, abusing, threatening, or intimidating other users
  • Attempting to circumvent any security or access controls on the platform
  • Impersonating any person or entity, or misrepresenting your identity or affiliation
  • Distributing malware, spam, or any harmful or disruptive content
  • Using the platform for commercial advertising without prior written consent
Violations of this section may result in immediate account suspension or termination and may be reported to relevant authorities.
Clause 07

Safety and Moderation

The Company takes user safety seriously and reserves the right to take the following actions at its sole discretion:

  • Monitor content — including messages, calls, and user activity — for violations of this Agreement
  • Suspend or restrict accounts temporarily pending investigation
  • Permanently remove users found to be in material violation of community guidelines
  • Report illegal activity to appropriate law enforcement agencies
  • Remove, edit, or hide any content that violates this Agreement

Moderation decisions are made in accordance with our internal policies and applicable law. Users may appeal moderation decisions by contacting support@pingoratech.in.

Clause 08

User Generated Content

The App enables users to create and share content including messages, audio, and other communications. With respect to such content:

  • You are solely responsible for all content you generate, transmit, or make available through the App
  • The Company is not liable for any content created, shared, or transmitted by users
  • By using the App, you grant us a limited license to process and moderate your content as described in this Agreement and our Privacy Policy
  • You warrant that your content does not violate any third-party rights or applicable laws
Clause 09

Termination

The Company may suspend or terminate your account, with or without notice, if you:

  • Violate any provision of this Agreement
  • Engage in prohibited conduct as described in Clause 6
  • Provide false or misleading registration information
  • Create safety or legal risk for the Company or other users

Upon termination, your license to use the App ceases immediately. You may request account deletion at any time via App Settings. Certain data may be retained as required by law or for safety purposes.

Clause 10

Limitation of Liability

To the fullest extent permitted by applicable law:

  • The App is provided on an "as is" and "as available" basis without warranties of any kind
  • The Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement
  • The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the App
  • Our total aggregate liability shall not exceed the amount paid by you to the Company in the three (3) months preceding the claim
Nothing in this clause limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.
Clause 11

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
